Welcome to the MineFarm high-performance distributed computing and AI platform. By creating an account, accessing our platform, leasing compute capacity, deploying AI models, or registering compute rigs, you enter into a legally binding agreement governed by these Terms of Service. Please review them carefully.
1. Interpretation & Definitions
The capitalized terms below have the following meanings across these Terms and related agreements:
- "Account" or "User Account": The registered account created by you on the Platform to access, manage, lease, or provide Services.
- "AI Model": Any artificial intelligence, large language, multimodal, or generative model made available on or through the Platform, including proprietary, open-weights, fine-tuned, and third-party hosted models.
- "Confidential Information": Non-public technical, financial, or operational information disclosed by either party, including credentials, connection strings, beta features, hardware topologies, and proprietary weights.
- "Force Majeure Event": Any failure or delay caused by events beyond reasonable control, including acts of God, war, civil disturbance, cyber warfare, global fiber or power grid failures, carrier outages, or governmental embargoes.
- "Output": All work product, calculations, simulations, datasets, embeddings, trained weights, LoRA adapters, images, audio, code, and completions generated, derived, or calculated through your use of the Services.
- "Platform": The website, APIs, reverse SSH gateways, and software systems located at
compute.y3ti.uk and all associated subdomains, whitelabel partner domains, and mobile clients.
- "Services": The compute leasing, AI model inference, GPU clusters, confidential enclaves, reverse SSH gateways, storage, and API services provided via the Platform.
- "Spot Virtual Machine" or "Spot Compute": Compute instances operating on surplus or interruptible capacity, offered at discounted rates without uptime guarantees and subject to immediate preemption without notice.
- "Service Level Agreement" or "SLA": The separate agreement setting forth the availability and service level commitments applicable to designated non-spot Services.
2. Customer Output Ownership & Intellectual Property
You retain 100% sole right, title, and interest in and to all Output, including all trained models, adapter weights, training configurations, simulation results, embeddings, and dataset checkpoints. MineFarm asserts zero intellectual property claim, copyright, or licensing interest over your Output. We do not use your proprietary prompts, inference context, or fine-tuned model weights to train foundation models without your explicit, written consent.
3. Open-Source Licenses & Third-Party AI Models
The Platform provides access to open-weights models and upstream multi-cloud providers (including Shadeform and Vast.ai integrations). You agree to comply strictly with all applicable upstream licenses (such as the Llama Community License, Apache 2.0, MIT, or custom research covenants). Third-party hosted models and upstream provider nodes operate under their respective terms and service levels; MineFarm disclaims all liability for third-party upstream outages, pricing variations, or model deprecations.
4. Spot Virtual Machines & Surplus Compute Preemption
Spot Virtual Machines operate on interruptible capacity to deliver radical cost reductions. By provisioning Spot Compute, you acknowledge and agree that:
- No Uptime Guarantees: Spot instances are explicitly exempt from Service Level Agreements (SLAs) and carry zero uptime guarantees.
- Immediate Preemption: Spot instances may be interrupted, preempted, or reclaimed at any moment without prior warning or entitlement to compensation.
- Ephemeral Storage & Backups: Local storage on Spot instances is ephemeral and permanently deleted upon preemption. You are solely responsible for checkpointing critical data and streaming backups to external object storage.
- Attached Volume Management: If you attach shared storage volumes to Spot instances, you remain responsible for detached storage lifecycle management and associated storage fees.
5. Hardware Provider Compliance & Cryptographic Proof-of-Work
Providers registering hardware nodes (rigs) on the platform agree to the following verified operational covenants:
- Hardware providers must supply genuine specifications and must not spoof hashrates, VRAM capacity, or hardware identifiers.
- Each registered rig must continuously complete cryptographic Proof-of-Work and ZK-FLOPS verification challenges issued during system heartbeats.
- Attempts to bypass, spoof, or simulate Proof-of-Work solutions or VRAM allocation will result in immediate rig quarantine, account banning, and forfeiture of accrued balances.
6. Acceptable Use Policy & Generative AI Governance (EU AI Act)
You agree to utilize the Services strictly for lawful purposes. You must not use the Platform or AI Models to:
- Deploy malware, botnets, ransomware, crypto-draining scripts, or automated vulnerability scanning tools.
- Execute unauthorized Distributed Denial of Service (DDoS) attacks, port floods, or network reconnaissance.
- Generate Child Sexual Abuse Material (CSAM), non-consensual deepfake imagery, or content promoting violent extremism.
- Synthesize chemical, biological, radiological, or nuclear weapons precursors or bypass safety alignment protocols (jailbreaks).
- Engage in prohibited high-risk artificial intelligence practices under the EU AI Act or applicable safety regulations.
7. Billing, Commissions, Credit Exhaustion & 30-Day Storage Purge
Platform financial settlements and data lifecycle policies operate as follows:
- Revenue Split: By default, 85.0% of compute rental revenue is disbursed to the node provider, and 15.0% is retained as the platform commission fee.
- Prepayment & Metering: Compute usage is micro-metered in real-time against pre-funded account wallet credits.
- Credit Exhaustion & Service Cessation: When account credit drops to zero, active compute workloads are paused or stopped immediately.
- 30-Day Storage Grace & Permanent Shredding: Inactive or stopped storage attached to an account with a negative balance will be preserved for up to thirty (30) calendar days. Storage costs during this period accrue as a negative balance. If the negative balance is not settled within thirty (30) consecutive days, all associated data, volumes, and snapshots are permanently and irreversibly sanitized and shredded in accordance with NIST SP 800-88 Rev 2.
- Disbursement Schedule: Verified provider earnings are aggregated and disbursed on the monthly settlement date via automated payment rails (Stripe Connect Express or BitPay).
8. Tax Compliance & Off-Premise Identity Verification
Tax withholdings, VAT/GST obligations, and payout settlements are managed strictly through 100% off-premise identity verification:
- Zero On-Premise Tax Data Storage: MineFarm does NOT collect, request, or store sensitive Tax Identification Numbers (SSNs, EINs, VAT IDs) or physical tax documents (Form W-9, Form W-8BEN) on its servers.
- Stripe Express Off-Premise Verification: All provider tax identity verification, W-9/W-8BEN form collection, TIN matching, and annual IRS Form 1099-MISC/NEC or EU DAC7 tax filings are processed and retained exclusively off-premise via secure Stripe Connect Express.
- Cross-Border Evaluation: Tax withholding baselines and EU Reverse Charge Mechanism rules (Art. 194 VAT Directive) are computed dynamically based on ISO 3166-1 country pair metrics.
9. Node Reputation Consensus & Algorithmic Ranking
Compute nodes listed on the public marketplace are ranked transparently using a deterministic reputation scoring engine (0 - 100 points):
- 40% Uptime SLA Heartbeats: Rewards nodes that maintain uninterrupted power, low latency, and continuous network connectivity.
- 40% Zero-Knowledge FLOPS Verification: Cryptographically validates true hardware processing capacity to prevent GPU specification spoofing.
- 20% Lease Completion Ratio: Measures historical job completion reliability without premature host disconnects.
10. Terms of Autonomous Swarm Agent Execution & Token Usage
MineFarm provides autonomous Agentic AI capabilities powered by distributed P2P compute nodes. Use of Agentic AI features is subject to the following rules:
- Execution Budget Limits: Each autonomous agent session enforces a strict budget limit of 50,000 total tokens or 20 sub-task execution steps. If an execution exceeds these bounds, the session will automatically halt to prevent infinite loops and excess compute consumption.
- Acceptable Tool Usage: Sandboxed tool execution (Python runtime, web scraping, shell commands) must not be utilized for malicious attacks, unauthorized network scans, denial-of-service attempts, or illegal activities. Violations result in immediate rig ban and user account termination.
- Autonomous Output Disclaimer: AI agents operate autonomously across distributed nodes. MineFarm makes no warranty regarding generated code correctness and strongly recommends reviewing all code artifacts prior to production deployment.
11. Confidential Computing (CC) & Hardware Enclave Zero-Trust SLA
Compute workloads deployed to nodes tagged with verified "CC" (Confidential Compute) attestation badges execute under strict hardware-enforced isolation covenants:
- Hardware-Level Memory Encryption: Customer model weights, inference prompts, and proprietary dataset payloads are encrypted with ephemeral keys (AES-256-GCM / RSA-OAEP) and decrypted strictly inside hardware-isolated enclave registers (NVIDIA Hopper/Blackwell CC or AMD SEV-SNP).
- Host Provider Non-Inspection Covenant: Node providers acknowledge and agree that attempting to bypass hardware enclave protections, capture VRAM memory dumps, or execute unauthorized PCIe bus probes constitutes a material breach of service resulting in immediate account termination, asset forfeiture, and legal reporting.
- Remote Attestation Verification: Renters have the right to cryptographically verify hardware signature quotes via
/api/v1/attest/verify prior to transmitting encrypted payloads.
12. Non-Collective Investment Scheme (Non-CIS) & FSCS Exclusion
Compute hardware colocation, fractional server capacities, and hardware lease disbursements facilitated through MineFarm operate strictly as commercial equipment ownership and commercial compute availability leasing:
- Statutory Exclusion: Compute arrangements do not constitute a Collective Investment Scheme (CIS) within the meaning of Section 235 of the Financial Services and Markets Act 2000 (FSMA 2000) or an Alternative Investment Fund (AIF).
- Identifiable Asset Bailment: Customers retain direct, unpooled, unencumbered legal and beneficial title to their dedicated hardware nodes and assigned GPU execution slots with individual telemetry, physical serial numbers, and independent operational control.
- No Financial Compensation Protection: Compute hardware assets and leasing yield are commercial operational equipment transactions and are NOT deposits, collective investments, or regulated financial instruments. Consequently, they are NOT protected by the UK Financial Services Compensation Scheme (FSCS) or subject to the jurisdiction of the Financial Ombudsman Service (FOS).
13. Dispute Resolution, Binding LCIA Arbitration & Class Action Waiver
Any dispute, controversy, or claim arising out of or in connection with these Terms of Service, including any question regarding its existence, validity, interpretation, breach, or termination, shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration (LCIA), which Rules are deemed to be incorporated by reference into this clause:
- Number of Arbitrators: The tribunal shall consist of one (1) sole arbitrator.
- Seat of Arbitration: The legal seat of arbitration shall be London, United Kingdom.
- Language: The language to be used in arbitral proceedings shall be English.
- Class Action Waiver: You agree that all claims must be brought strictly in your individual capacity, and not as a plaintiff, class member, or representative in any purported class, collective, or representative proceeding.
- Small Claims Exception: Notwithstanding the foregoing arbitration agreement, either party retains the right to bring an individual action in the Small Claims Track of the County Court of England and Wales for qualifying monetary claims within statutory jurisdiction.
14. Governing Law & Jurisdiction
These Terms of Service, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or formation, shall be governed by, and construed in accordance with, the laws of England and Wales.
